Trian Fund Management’s interest in Wendy’s is not new; the firm previously explored a similar transaction in 2022 but ultimately declined to proceed. Currently, Trian holds a significant stake in Wendy’s, owning nearly 8%, while Peltz individually controls over 16%. The investment group has publicly described Wendy’s shares as undervalued, underlining the potential they see in the company. Peltz’s connection with Wendy’s is longstanding, including a previous 17-year tenure on the board and his current role as chairman emeritus.
Key members of Trian, including executive Peter May and Peltz’s son Bradley, remain on Wendy’s board of directors, which could facilitate smooth negotiations if a deal moves forward. Meanwhile, Wendy’s board and leadership emphasize ongoing strategic reviews aimed at maximizing shareholder returns.
