Paramount–WBD Takeover Could Be Delayed Until June 2027

Paramount, the parent company of CBS Sports, has agreed to delay the closing of its $110 billion acquisition of Warner Bros. Discovery (WBD), the owner of TNT Sports, until as late as June 1, 2027. This concession comes amid an ongoing antitrust lawsuit filed by 12 states, which challenges the deal on competition grounds. Paramount opted to postpone the acquisition’s completion until after the legal showdown or by next June, whichever occurs first, aiming to address the states’ concerns in court and demonstrating confidence that the merger benefits competition, consumers, and creators.

This postponement follows a temporary restraining order issued by a judge in the U.S. District Court for the Northern District of California, which initially halted the deal for two weeks and later extended that period to August 17. Paramount’s agreement to delay automatically cancels a preliminary injunction hearing scheduled for August 3, allowing both parties to proceed directly to trial on the substantive antitrust issues. Paramount insists the merger is favorable and has already received global regulatory approvals but faces its most significant obstacle posed by attorney general Rob Bonta of California.

The delayed timeline will increase the financial burdens on Paramount, as it faces quarterly ticking fees of approximately $650 million for every quarter the deal remains unclosed after September 30, 2026. Moreover, the extended process heightens the risk of a $7 billion breakup fee that Paramount must pay WBD if regulatory authorities block the acquisition. The stakes are high given the combination would create a dominant force across major U.S. professional and college sports media, excluding the NBA, by merging the sports portfolios of TNT Sports and CBS Sports.

While the legal battle focuses mainly on the potential Hollywood-related impacts and federal antitrust laws, the broader implications for the sports media landscape are substantial. The merger would significantly reshape sports broadcasting and could alter competitive dynamics in how sports content is produced and distributed. Paramount’s willingness to delay and face trial on these claims reflects a strategic approach to navigating one of the most complex media mergers pending in the industry today.
